LICENSE AGREEMENT IMPORTANT: BEFORE DOWNLOADING THE LICENSED MATERIALS FROM THIS WEBSITE, PLEASE READ THIS LICENSE AGREEMENT (“AGREEMENT”) CAREFULLY AND CLICK THE “I AGREE” BUTTON ON THIS WEBSITE. BY CLICKING THE “I AGREE” BUTTON ON THIS WEBSITE, DOWNLOADING, COPYING OR OTHERWISE USING THE LICENSED MATERIALS YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, YOU MAY NOT USE THE LICENSED MATERIALS. For users in Indonesia, the Indonesian version of this AGREEMENT is attached below the English version, and in the event of any conflict or inconsistency between the English and Indonesian versions, the English version shall prevail. This AGREEMENT is a legal agreement between (i) you and any entity you represent (“you”) and (ii) Sony Corporation (“SONY”). This AGREEMENT governs your rights and obligations regarding the Camera Remote Command of SONY and/or its third party licensors (including SONY’s affiliates) and their respective affiliates (collectively, the “THIRD-PARTY SUPPLIERS”) made available to you by SONY, through this website or other means, together with any protocol and example programs, their updates/upgrades provided by SONY, and any printed, on-line or other electronic documentation for such protocol and example programs (collectively, the “LICENSED MATERIALS”). Notwithstanding the foregoing, any example programs in the LICENSED MATERIALS having a separate end user license agreement (including, but not limited to, GNU General Public License and Lesser/Library General Public License) shall be covered by such applicable separate end user license agreement in lieu of the terms of this AGREEMENT to the extent required by such separate end user license agreement (“EXCLUDED SOFTWARE”). LICENSED MATERIALS LICENSE The LICENSED MATERIALS are licensed, not sold. The LICENSED MATERIALS are protected by copyright and other intellectual property laws and international treaties. COPYRIGHT All right and title in and to the LICENSED MATERIALS (including, but not limited to, any images, photographs, animation, video, audio, music, text, “applets” and other content incorporated into the LICENSED MATERIALS) is owned by SONY or one or more of the THIRD-PARTY SUPPLIERS. GRANT OF LICENSE SONY grants you, solely in accordance with this AGREEMENT and the usage as intended in the relevant instructions and directions for use made available to you by SONY (“USAGE INSTRUCTIONS”), a limited, non-exclusive, and non-transferable license to: (i) install and use the LICENSED MATERIALS on your device, solely for the purposes of developing and using application software that enables the user to remotely control or use camera products or the peripheral products such as lens and flash products all of which are developed or sold by SONY (collectively, “DEVICE” and such application software shall be hereinafter referred to as “APPLICATION SOFTWARE”); (ii) incorporate example programs in the LICENSED MATERIALS into the APPLICATION SOFTWARE in an inseparable way and distribute the APPLICATION SOFTWARE to any third parties; and (iii) grant the third parties to whom you distribute the APPLICATION SOFTWARE subject to the subsection (ii) immediately set forth above (“END-USERS”) a license to copy and use the APPLICATION SOFTWARE, solely for the purposes to remotely control or use the DEVICE in a normal usage. SONY and the THIRD-PARTY SUPPLIERS expressly reserve all rights, title and interest (including, but not limited to, all intellectual property rights) in and to the LICENSED MATERIALS that this AGREEMENT does not specifically grant to you. REQUIREMENTS AND LIMITATIONS You may not attempt to derive source code, modify, reverse engineer, decompile, or disassemble any of the LICENSED MATERIALS, whether in whole or in part, or create any derivative works from or of the LICENSED MATERIALS unless such derivative works are intentionally facilitated by the LICENSED MATERIALS. You may not modify or tamper with any digital rights management functionality of the LICENSED MATERIALS. You may not bypass, modify, defeat or circumvent any of the functions or protections of the LICENSED MATERIALS or any mechanisms operatively linked to the LICENSED MATERIALS. You may not separate any individual component of the LICENSED MATERIALS unless expressly authorized to do so by SONY in this AGREEMENT or any USAGE INSTRUCTIONS. You may not remove, alter, cover or deface any trademarks or notices on the LICENSED MATERIALS. You may not share, distribute, rent, lease, sublicense, assign, transfer or sell the LICENSED MATERIALS unless expressly authorized to do so by SONY in this AGREEMENT or any USAGE INSTRUCTIONS. You may not use the LICENSED MATERIALS in any manner non-compliant with the USAGE INSTRUCTIONS. The software, network services or other products other than LICENSED MATERIALS upon which the LICENSED MATERIALS’ performance depends might be interrupted or discontinued at the discretion of the suppliers (software suppliers, service suppliers, or SONY). SONY and such suppliers do not warrant that the LICENSED MATERIALS, network services, contents or other products will continue to be available, or will operate without interruption or modification. You shall not, nor shall you instruct or permit, procure, enable or request any third party (including the END-USERS, third party personnel or other personnel, staff or contractors) to, take any action designed or intended to: (i) use the LICENSED MATERIALS (or any part thereof) in any manner or for any purpose that is inconsistent with this AGREEMENT; (ii) introduce to the LICENSED MATERIALS any “back door,” “drop dead device,” “time bomb,” “Trojan horse,” “virus,” or “worm” (as such terms are commonly understood in the software industry) or any other equivalent code, files, scripts, agents, programs, software routine or instructions designed or intended to disrupt, disable, harm or otherwise impede in any manner the operation of the LICENSED MATERIALS or any device or system owned or controlled by you or any third party, or which otherwise may damage or destroy any data or file (“Malicious Code”); (iii) interfere with the proper working of the LICENSED MATERIALS; (iv) circumvent, disable, or interfere with security-related features of the LICENSED MATERIALS or features that prevent or restrict use, access to, or copying the LICENSED MATERIALS, or that enforce limitations on use of the LICENSED MATERIALS; or (v) impose (or which may impose, in your sole discretion) an unreasonable or disproportionately large load on the LICENSED MATERIALS. Please also note that you shall: (a) unless you are a user in certain jurisdictions (see below *), explain to and obtain a consent from the END-USERS, before licensing the END-USERS to copy or use the APPLICATION SOFTWARE, that once a DEVICE is used or controlled through the APPLICATION SOFTWARE, the DEVICE will be out of such manufacturer-warranty as separately specified by SONY with respect to the DEVICE; (b) not represent to the END-USERS or in any other way cause the END-USERS to believe that SONY or SONY’s affiliate(s) is the owner, licensor, creator or developer of the APPLICATION SOFTWARE; and (c) provide at your costs and responsibility any and all customer support to the END USERS for the APPLICATION SOFTWARE, and not represent to the END-USERS or in any other way cause the END-USERS to believe that SONY or SONY’s affiliate(s) would provide such support. * In Australia, New Zealand, Philippines, South Africa and Iraq, goods and services come with certain warranties which cannot be excluded, restricted or modified. Your rights in this regard as an Australian user are contained in the Australian Consumer Law, in Schedule 2 of the Competition and Consumer Act 2010 (C’th) for Australian users, the Consumer Guarantees Act 1993 (NZ) for New Zealand users, the Consumer Act of the Philippines (Art. 66 to Art. 73 of RA. 7394S) for Philippines users, the Consumer Protection Act No. 68 of 2008 for South African users, and the Consumer Protection Law No. 1 of 2010 for Iraqi users . The above provision does not exclude, restrict or modify your rights under the applicable laws. EXCLUDED SOFTWARE AND OPEN SOURCE COMPONENTS Notwithstanding the foregoing limited license grant, you acknowledge that the LICENSED MATERIALS may include EXCLUDED SOFTWARE. Certain EXCLUDED SOFTWARE may be covered by open source software licenses (“Open Source Components”), which means any software licenses approved as open source licenses by the Open Source Initiative or any substantially similar licenses, including but not limited to any license that, as a condition of distribution of the software licensed under such license, requires that the distributor make the software available in source code format. If and to the extent disclosure is required, please visit oss.sony.net/Products/Linux or other SONY-designated web site for a list of applicable OPEN SOURCE COMPONENTS included in the LICENSED MATERIALS from time to time, and the applicable terms and conditions governing its use. Such terms and conditions may be changed by the applicable third party at any time without liability to you. To the extent required by the licenses covering EXCLUDED SOFTWARE, the terms of such licenses will apply in lieu of the terms of this AGREEMENT. To the extent the terms of the licenses applicable to EXCLUDED SOFTWARE prohibit any of the restrictions in this AGREEMENT with respect to such EXCLUDED SOFTWARE, such restrictions will not apply to such EXCLUDED SOFTWARE. To the extent the terms of the licenses applicable to Open Source Components require SONY to make an offer to provide source code in connection with the LICENSED MATERIALS, such offer is hereby made. NETWORK SERVICE PLEASE ALSO NOTE THAT THE APPLICATION SOFTWARE DEVELOPED BY INCORPORATING THE LICENSED MATERIALS MAY BE DESIGNED TO BE USED WITH NETWORK SERVICES (“NETWORK SERVICE”). USE OF THE NETWORK SERVICE IS SUBJECT TO THE TERMS OF THE NETWORK SERVICE. IF YOU DECLINE TO ACCEPT THOSE TERMS, YOUR USE OF THE APPLICATION SOFTWARE WILL BE LIMITED. You acknowledge and agree that certain NETWORK SERVICE may be provided by third parties over which SONY has no control. WHERE NETWORK SERVICE IS NOT UNDER SONY’S CONTROL, SONY SHALL NOT BE LIABLE IN RESPECT OF ANY DAMAGES (OR OTHER LIABILITY) RELATED TO SUCH NETWORK SERVICE. USE OF THE NETWORK SERVICE REQUIRES AN INTERNET CONNECTION. THE NETWORK SERVICE MAY BE DISCONTINUED AT ANY TIME. INTERNET CONNECTIVITY AND THIRD PARTY SERVICES You acknowledge and agree that access to certain APPLICATION SOFTWARE developed by incorporating the LICENSED MATERIALS features may require an Internet connection for which you are solely responsible. Without limiting the generality of the foregoing, you are solely responsible for (i) payment of any third party fees associated with your Internet connection, including but not limited to Internet service provider or airtime charges and (ii) establishment and maintenance of secured Internet connection. Operation of the APPLICATION SOFTWARE may be limited or restricted depending on the capabilities, bandwidth or technical limitations of your Internet connection and service. The provision, quality and security of such Internet connectivity are the sole responsibility of you and the third party providing such service. You are solely responsible in the event any Malicious Code introduced in the APPLICATION SOFTWARE because of or through, your internet connections. EXPORT AND OTHER REGULATIONS You agree to comply with all applicable export and re-export restrictions and regulations of the area or country in which you reside, and not to transfer, or authorize the transfer, of the LICENSED MATERIALS to a prohibited country or otherwise in violation of any such restrictions or regulations. HIGH RISK ACTIVITIES The LICENSED MATERIALS are not fault-tolerant and are not designed, manufactured or intended for use or resale as on-line control equipment in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems, in which the failure of the LICENSED MATERIALS could lead to death, personal injury, or severe physical or environmental damage (“HIGH RISK ACTIVITIES”). SONY, each of the THIRD-PARTY SUPPLIERS, and each of their respective affiliates specifically disclaim any express or implied warranty, duty or condition of fitness for HIGH RISK ACTIVITIES. PROHIBITED USE OF THE LICENSED MATERIALS You hereby acknowledge and agree that SONY, its parent, subsidiaries and affiliates, are strictly committed not to engage in any transactions involving Arms. “Arms” refer to products, software, technologies or services designed for combat attack (i.e., killing or destruction) or that could be diverted and employed for combat attack, including parts, accessories and/or software specially designed for any such products, software, technologies or services. Arms include, but are not limited to, (i) any types of guns (including hunting guns and sport guns) and any telescopic sights for any such guns, (ii) tanks, battleships, submarines and fighters (including attack helicopters), (iii) explosives, (iv) biological or chemical weapons, (v) missiles, (vi) unmanned aerial vehicles equipped with offensive weapons (including dissemination feature of biological or chemical weapons), and (vii) devices or programs specially designed for guidance or attitude control of the items described above. You represent, warrant, and covenant that you will not use the LICENSED MATERIALS and the DEVICES: (i) to design, develop, manufacture, customize, use, install, inspect or store Arms; (ii) to transport explosives or chemical or biological weapons and other harmful items; and/or (iii) for military activities such as intelligence, surveillance and reconnaissance. You represent, warrant, and covenant that you will not resell or otherwise transfer the APPLICATION SOFTWARE to others who intend to use the APPLICATION SOFTWARE: (i) to design, develop, manufacture, customize, use, install, inspect or store Arms; (ii) to transport explosives or chemical or biological weapons and other harmful items; and/or (iii) for military activities such as intelligence, surveillance and reconnaissance. You shall explain to and obtain a consent from the END-USERS about the prohibited uses of the LICENSED MATERIALS, the APPLICATION SOFTWARE and the DEVICES as set forth in this Section before licensing the END-USERS to copy or use the APPLICATION SOFTWARE. DISCLAIMER OF WARRANTIES ON LICENSED MATERIALS Unless you are a user in certain jurisdictions (see above *), you acknowledge and agree that use of the LICENSED MATERIALS is at your sole risk and that you are responsible for use of the LICENSED MATERIALS. The LICENSED MATERIALS are provided “AS IS,” without warranty, duty or condition of any kind. UNLESS YOU ARE A USER IN CERTAIN JURISDICTIONS *, SONY AND EACH OF THE THIRD-PARTY SUPPLIERS (for purposes of this Section, SONY and each of the THIRD-PARTY SUPPLIERS shall be collectively referred to as “SONY”) EXPRESSLY DISCLAIM ALL WARRANTIES, DUTIES OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE. SONY DOES NOT WARRANT OR MAKE ANY CONDITIONS OR REPRESENTATIONS (A) THAT THE FUNCTIONS CONTAINED IN ANY OF THE LICENSED MATERIALS WILL MEET YOUR REQUIREMENTS OR THAT THEY WILL BE UPDATED, (B) THAT THE OPERATION OF ANY OF THE LICENSED MATERIALS WILL BE CORRECT OR ERROR-FREE OR THAT ANY DEFECTS WILL BE CORRECTED, (C) THAT THE LICENSED MATERIALS WILL NOT DAMAGE ANY OTHER SOFTWARE, HARDWARE OR DATA, (D) THAT ANY SOFTWARE, NETWORK SERVICES (INCLUDING THE INTERNET) OR PRODUCTS (OTHER THAN THE LICENSED MATERIALS) UPON WHICH THE LICENSED MATERIALS’ PERFORMANCE OR APPLICATION SOFTWARE’S PERFORMANCE DEPENDS WILL CONTINUE TO BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR UNMODIFIED, (E) THAT THE SOFTWARE OR ANY EQUIPMENT, SYSTEM OR NETWORK ON WHICH THE LICENSED MATERIALS ARE USED (INCLUDING THE DEVICE) WILL BE FREE OF VULNERABILITY TO INTRUSION OR ATTACK AND (F) REGARDING THE USE OR THE RESULTS OF THE USE OF THE LICENSED MATERIALS IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. THE SERVICES MAY BE SUBJECT TO DELAYS, CANCELLATIONS, AND OTHER DISRUPTIONS. SONY MAKES NO WARRANTY, REPRESENTATION OR CONDITION WITH RESPECT TO THE LICENSED MATERIALS, INCLUDING BUT NOT LIMITED TO, THE QUALITY, EFFECTIVENESS, REPUTATION, AND OTHER CHARACTERISTICS OF THE SERVICES. UNLESS YOU ARE A USER IN CERTAIN JURISDICTIONS **, NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY SONY OR AN AUTHORIZED REPRESENTATIVE OF SONY SHALL CREATE A WARRANTY, DUTY OR CONDITION OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY. UNLESS YOU ARE A USER IN CERTAIN JURISDICTIONS*, SHOULD THE LICENSED MATERIALS PROVE DEFECTIVE YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. LIMITATION OF LIABILITY UNLESS YOU ARE A USER IN CERTAIN JURISDICTIONS**, SONY AND EACH OF THE THIRD-PARTY SUPPLIERS (for purposes of this Section, SONY and each of the THIRD-PARTY SUPPLIERS shall be collectively referred to as “SONY”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE LICENSED MATERIALS AND/OR DEVICE, INCLUDING FOR BREACH OF ANY EXPRESS OR IMPLIED WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY OR UNDER ANY OTHER LEGAL THEORY RELATED TO THE LICENSED MATERIALS, INCLUDING, BUT NOT LIMITED TO, ANY DAMAGES ARISING OUT OF LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE OF THE LICENSED MATERIALS OR ANY ASSOCIATED HARDWARE, DOWN TIME AND USER’S TIME, EVEN IF ANY OF THEM HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, EACH AND ALL OF THEIR AGGREGATE LIABILITY UNDER ANY PROVISION OF THIS AGREEMENT SHALL BE LIMITED TO THE GREATER OF THE AMOUNT ACTUALLY PAID BY YOU FOR THE LICENSED MATERIALS OR ONE MILLION JAPANESE YEN (\1,000,000). INDEMNITY Except as prohibited by applicable law, you agree to defend, indemnify and hold harmless SONY and the THIRD-PARTY SUPPLIERS and their respective subsidiaries, affiliates, officers and employees, from any loss, claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use or third parties’ use of the LICENSED MATERIALS, APPLICATION SOFTWARE and/or the DEVICE (including, without limitation, any software vulnerability caused by such use and any accident caused by such usage of the DEVICE as used or controlled with the APPLICATION SOFTWARE), your violation of this AGREEMENT or your failure to fulfill your responsibility under this AGREEMENT. UPDATE SONY may, but shall be under no obligation to, release upgrades, updates, bug-fixes and/or otherwise modified versions of the LICENSED MATERIALS in such manner which SONY deems to be adequate. If and when such updated LICENSED MATERIALS are released, you shall use such updated LICENSED MATERIALS to modify the APPLICATION SOFTWARE in accordance with Sony’s instructions provided in connection therewith. FORCE MAJEURE SONY shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials. ENTIRE AGREEMENT, WAIVER, SEVERABILITY This AGREEMENT and SONY’s privacy policy, each as amended and modified from time to time, together constitute the entire agreement between you and SONY with respect to the LICENSED MATERIALS. The failure of SONY to exercise or enforce any right or provision of this AGREEMENT shall not constitute a waiver of such right or provision. If any part of this AGREEMENT is held invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible so as to maintain the intent of this AGREEMENT, and the other parts will remain in full force and effect. GOVERNING LAW AND JURISDICTION The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this AGREEMENT. This AGREEMENT shall be governed by the laws of Japan, without regards to conflict of laws provisions. Any dispute arising out of this AGREEMENT shall be subject to the exclusive venue of the Tokyo District Court in Japan, and the parties hereby consent to the venue and jurisdiction of such courts. EQUITABLE REMEDIES Notwithstanding anything contained in this AGREEMENT to the contrary, you acknowledge and agree that any violation of or non-compliance with this AGREEMENT by you will cause irreparable harm to SONY, for which monetary damages would be inadequate, and you consent to SONY obtaining any injunctive or equitable relief that SONY deems necessary or appropriate in such circumstances. SONY may also take any legal and technical remedies to prevent violation of and/or to enforce this AGREEMENT, including, but not limited to, immediate termination of your use of the LICENSED MATERIALS, if SONY believes in its sole discretion that you are violating or intend to violate this AGREEMENT. These remedies are in addition to any other remedies SONY may have at law, in equity or under contract. TERMINATION Without prejudice to any of its other rights, SONY may terminate or suspend your access or use of the LICENSED MATERIALS and/or terminate this AGREEMENT if you fail to comply with any of its material terms or SONY reasonably determines, in SONY’s sole discretion, that: (i) the APPLICATION SOFTWARE causes any potential security vulnerability; (ii) the APPLICATION SOFTWARE does not function fully, completely, correctly or as otherwise expected in connection with the DEVICE; (iii) the APPLICATION SOFTWARE contains or promotes any content that does not comply with SONY’s then current policies, procedures or parameters as may be provided from time to time; (iv) the APPLICATION SOFTWARE actually or allegedly infringes or misappropriates any third party’s intellectual property rights; (v) the APPLICATION SOFTWARE contains or promotes any inappropriate, defamatory, obscene or unlawful content; (vi) the APPLICATION SOFTWARE contains any messages that promote pyramid schemes, chain letters or disruptive commercial messages or advertisement; (vii) SONY reasonably determines the APPLICATION SOFTWARE otherwise creates a negative user experience. In case of such termination, you must: (a) cease all use, and destroy any copies, of the LICENSED MATERIALS within two (2) weeks from the date of such termination and; (b) upon request to be made by SONY, provide SONY with a certification, verifying that such LICENSED MATERIALS have been so ceased and destroyed. AMENDMENT SONY RESERVES THE RIGHT TO AMEND ANY OF THE TERMS OF THIS AGREEMENT AT ITS SOLE DISCRETION BY POSTING NOTICE ON A SONY DESIGNATED WEB SITE AND/OR BY PROVIDING NOTICE AS PART OF THE PROCESS IN WHICH YOU OBTAIN UPGRADES/UPDATES OR BY ANY OTHER LEGALLY RECOGNIZABLE FORM OF NOTICE. If you do not agree to the amendment, you should promptly contact SONY for instructions. Your continued use of the LICENSED MATERIALS after the effective date of any such notice shall be deemed your agreement to be bound by such amendment. THIRD-PARTY BENEFICIARIES Each THIRD-PARTY SUPPLIER is an express intended third-party beneficiary of, and shall have the right to enforce, each provision of this AGREEMENT with respect to the LICENSED MATERIALS of such party. PERJANJIAN ini mengatur hak dan kewajiban Anda terkait dengan Camera Remote Command milik SONY dan/atau pemberi lisensi pihak ketiga (termasuk afiliasi SONY) dan afiliasinya masing-masing (secara kolektif disebut, "PEMASOK PIHAK KETIGA") yang disediakan untuk Anda oleh SONY, melalui situs web ini atau sarana lain, bersama dengan protokol dan program contoh, pembaruan/peningkatan yang disediakan oleh SONY, dokumentasi cetak, daring, atau elektronik lainnya untuk protokol dan program contoh (secara kolektif disebut, "MATERI BERLISENSI"). Terlepas dari hal tersebut di atas, program contoh apa pun dalam MATERI BERLISENSI ini yang memiliki perjanjian lisensi pengguna akhir terpisah (termasuk, namun tidak terbatas pada, lisensi GNU General Public dan Lisensi Lesser/Library General Public) akan dicakup oleh perjanjian lisensi pengguna akhir terpisah yang berlaku tersebut sebagai pengganti ketentuan PERJANJIAN ini sejauh yang diwajibkan oleh perjanjian lisensi pengguna akhir terpisah tersebut ("PERANGKAT LUNAK YANG DIKECUALIKAN"). LISENSI MATERI BERLISENSI MATERI BERLISENSI dilisensikan, bukan dijual. MATERI BERLISENSI ini dilindungi oleh hak cipta dan undang-undang kekayaan intelektual lainnya serta perjanjian internasional. HAK CIPTA Semua hak dan kepemilikan atas MATERI BERLISENSI (termasuk, namun tidak terbatas pada, gambar, foto, animasi, video, audio, musik, teks, "applet", dan konten lain yang dimasukkan ke dalam MATERI BERLISENSI) dimiliki oleh SONY atau satu atau beberapa PEMASOK PIHAK KETIGA. PEMBERIAN LISENSI SONY memberi Anda, semata-mata sesuai dengan PERJANJIAN ini dan penggunaan sebagaimana dimaksud dalam petunjuk dan arahan penggunaan yang relevan yang disediakan untuk Anda oleh SONY ("PETUNJUK PENGGUNAAN"), lisensi terbatas, non-eksklusif, dan tidak dapat dipindahtangankan untuk: (i) memasang dan menggunakan MATERI BERLISENSI pada perangkat Anda, semata-mata dengan tujuan mengembangkan dan menggunakan aplikasi perangkat lunak yang memungkinkan pengguna untuk mengendalikan atau menggunakan produk kamera atau produk periferal seperti produk lensa dan lampu kilat dari jarak jauh, yang semuanya dikembangkan atau dijual oleh SONY (secara kolektif disebut, "PERANGKAT" dan APLIKASI PERANGKAT LUNAK tersebut selanjutnya disebut sebagai "APLIKASI PERANGKAT LUNAK"); (ii) menggabungkan program contoh dalam MATERI BERLISENSI ke dalam APLIKASI PERANGKAT LUNAK secara tidak terpisahkan dan mendistribusikan APLIKASI PERANGKAT LUNAK tersebut kepada pihak ketiga mana pun; dan (iii) memberikan lisensi kepada pihak ketiga yang Anda distribusikan APLIKASI PERANGKAT LUNAK sesuai dengan subbagian (ii) yang ditetapkan di atas ("PENGGUNA AKHIR") untuk menyalin dan menggunakan APLIKASI PERANGKAT LUNAK, semata-mata untuk tujuan mengendalikan dari jarak jauh atau menggunakan PERANGKAT dalam penggunaan normal. SONY dan PEMASOK PIHAK KETIGA secara tegas memiliki semua hak, kepemilikan, dan kepentingan (termasuk, namun tidak terbatas pada, semua hak kekayaan intelektual) dalam dan atas MATERI BERLISENSI yang tidak secara khusus diberikan PERJANJIAN ini kepada Anda. PERSYARATAN DAN BATASAN Anda tidak boleh mencoba mengambil kode sumber, memodifikasi, merekayasa ulang, mendekompilasi, atau membongkar MATERI BERLISENSI apa pun, baik seluruhnya maupun sebagian, atau membuat karya turunan apa pun dari atau di MATERI BERLISENSI kecuali karya turunan tersebut sengaja difasilitasi oleh MATERI BERLISENSI. Anda tidak boleh mengubah atau merusak fungsi manajemen hak digital apa pun pada MATERI BERLISENSI. Anda tidak boleh mengabaikan, memodifikasi, menggagalkan, atau menghindari fungsi atau proteksi apa pun pada MATERI BERLISENSI atau mekanisme apa pun yang terhubung secara operasional dengan MATERI BERLISENSI. Anda tidak boleh memisahkan komponen apa pun dari MATERI BERLISENSI kecuali secara tegas diizinkan untuk melakukannya oleh SONY dalam PERJANJIAN ini atau PETUNJUK PENGGUNAAN apa pun. Anda tidak boleh menghapus, mengubah, menutupi, atau merusak merek dagang atau pemberitahuan apa pun pada MATERI BERLISENSI. Anda tidak boleh membagikan, mendistribusikan, menyewakan, meminjamkan, mensublisensikan, memberikan, mentransfer, atau menjual MATERI BERLISENSI kecuali secara tegas diizinkan untuk melakukannya oleh SONY dalam PERJANJIAN ini atau PETUNJUK PENGGUNAAN apa pun. Anda tidak boleh menggunakan MATERI BERLISENSI dengan cara apa pun yang tidak sesuai dengan PETUNJUK PENGGUNAAN. Perangkat lunak, layanan jaringan, atau produk lain selain MATERI BERLISENSI yang menjadi dasar kinerja MATERI BERLISENSI bisa terganggu atau dihentikan atas kebijakan pemasok (pemasok perangkat lunak, pemasok layanan, atau SONY). SONY dan para pemasok tersebut tidak menjamin bahwa MATERI BERLISENSI, layanan jaringan, konten, atau produk lain akan terus tersedia, atau akan beroperasi tanpa gangguan atau modifikasi. Anda tidak boleh, dan juga tidak boleh memerintahkan atau mengizinkan, mengadakan, memungkinkan, atau meminta pihak ketiga mana pun (termasuk PENGGUNA AKHIR, personel pihak ketiga atau personel, staf atau kontraktor lain) untuk, mengambil tindakan apa pun yang dirancang atau dimaksudkan untuk: (i) menggunakan MATERI BERLISENSI (atau komponennya) dengan cara apa pun atau untuk keperluan apa pun yang tidak sesuai dengan PERJANJIAN ini; (ii) memasukkan ke dalam MATERI BERLISENSI antara lain "back door," "perangkat mati otomatis," "bom waktu," "Trojan horse," "virus," atau "worm" (istilah yang umumnya dipahami dalam industri perangkat lunak) atau kode, file, skrip, agen, program, rutinitas perangkat lunak, atau instruksi yang setara lainnya yang dirancang atau dimaksudkan untuk mengganggu, melumpuhkan, membahayakan, atau dengan cara apa pun menghalangi pengoperasian MATERI BERLISENSI atau perangkat atau sistem yang dimiliki atau dikendalikan oleh Anda atau pihak ketiga mana pun, atau yang dengan cara lain dapat merusak atau menghancurkan data atau file apa pun ("Kode Berbahaya"); (iii) mengganggu fungsi normal MATERI BERLISENSI; (iv) menghindari, menonaktifkan, atau mengganggu fitur yang berkaitan dengan keamanan MATERI BERLISENSI atau fitur yang menghalangi atau membatasi penggunaan, akses ke, atau penyalinan MATERI BERLISENSI, atau yang memberlakukan batasan pada penggunaan MATERI BERLISENSI; atau (v) memaksakan (atau yang mungkin memaksakan, menurut kebijakan Anda sendiri) beban yang tidak masuk akal atau sangat besar pada MATERI BERLISENSI. Harap diperhatikan bahwa Anda harus: (a) menjelaskan kepada dan memperoleh persetujuan dari PENGGUNA AKHIR, sebelum memberikan lisensi kepada PENGGUNA AKHIR untuk menyalin atau menggunakan APLIKASI PERANGKAT LUNAK, bahwa setelah suatu PERANGKAT digunakan atau dikontrol melalui APLIKASI PERANGKAT LUNAK, PERANGKAT tersebut akan berada di luar garansi pabrik sebagaimana ditentukan secara terpisah oleh SONY berkenaan dengan PERANGKAT tersebut; (b) tidak menyatakan kepada PENGGUNA AKHIR atau dengan cara lain menyebabkan PENGGUNA AKHIR percaya bahwa SONY atau afiliasi SONY adalah pemilik, pemberi lisensi, pembuat, atau pengembang APLIKASI PERANGKAT LUNAK; dan (c) menyediakan, atas biaya dan tanggung jawab Anda sendiri, semua dukungan pelanggan kepada PENGGUNA AKHIR untuk APLIKASI PERANGKAT LUNAK, dan tidak menyatakan kepada PENGGUNA AKHIR atau dengan cara apa pun menyebabkan PENGGUNA AKHIR percaya bahwa SONY atau afiliasi SONY yang akan menyediakan dukungan tersebut. PERANGKAT LUNAK YANG DIKECUALIKAN DAN KOMPONEN OPEN SOURCE Terlepas dari pemberian lisensi terbatas di atas, Anda mengonfirmasi bahwa MATERI BERLISENSI dapat mencakup PERANGKAT LUNAK YANG DIKECUALIKAN. PERANGKAT LUNAK YANG DIKECUALIKAN tertentu dapat dicakup oleh lisensi perangkat lunak open source ("Komponen Open Source"), yang berarti setiap lisensi perangkat lunak yang disetujui sebagai lisensi open source oleh Open Source Initiative atau lisensi yang serupa secara substansial, termasuk namun tidak terbatas pada lisensi apa pun yang, sebagai syarat distribusi perangkat lunak yang dilisensikan berdasarkan lisensi tersebut, mengharuskan distributor menyediakan perangkat lunak dalam format kode sumber. Jika dan sejauh pengungkapan diperlukan, silakan buka oss.sony.net/Products/Linux atau situs web lain yang ditetapkan SONY untuk mendapatkan daftar KOMPONEN OPEN SOURCE yang berlaku yang disertakan dalam MATERI BERLISENSI dari waktu ke waktu, serta syarat dan ketentuan yang berlaku yang mengatur penggunaannya. Syarat dan ketentuan tersebut dapat diubah oleh pihak ketiga yang berlaku kapan saja tanpa tanggung jawab kepada Anda. Sejauh diperlukan oleh lisensi yang mencakup PERANGKAT LUNAK YANG DIKECUALIKAN, ketentuan lisensi tersebut akan berlaku sebagai pengganti ketentuan PERJANJIAN ini. Sejauh ketentuan lisensi yang berlaku untuk PERANGKAT LUNAK YANG DIKECUALIKAN melarang pembatasan apa pun dalam PERJANJIAN ini sehubungan dengan PERANGKAT LUNAK YANG DIKECUALIKAN tersebut, pembatasan tersebut tidak akan berlaku untuk PERANGKAT LUNAK YANG DIKECUALIKAN tersebut. Sejauh ketentuan lisensi yang berlaku pada Komponen Open Source mengharuskan SONY mengajukan penawaran untuk menyediakan kode sumber sehubungan dengan MATERI BERLISENSI, maka dengan ini penawaran tersebut dibuat. LAYANAN JARINGAN HARAP DIPERHATIKAN JUGA BAHWA APLIKASI PERANGKAT LUNAK YANG DIKEMBANGKAN DENGAN MENGGABUNGKAN MATERI BERLISENSI INI DAPAT DIRANCANG UNTUK DIGUNAKAN DENGAN LAYANAN JARINGAN ("LAYANAN JARINGAN"). PENGGUNAAN LAYANAN JARINGAN TUNDUK PADA KETENTUAN LAYANAN JARINGAN. JIKA ANDA MENOLAK UNTUK MENYETUJUI KETENTUAN TERSEBUT, PENGGUNAAN APLIKASI PERANGKAT LUNAK OLEH ANDA AKAN TERBATAS. Anda mengonfirmasi dan menyetujui bahwa LAYANAN JARINGAN tertentu dapat disediakan oleh pihak ketiga yang tidak berada di bawah kendali SONY. JIKA LAYANAN JARINGAN TIDAK BERADA DI BAWAH KENDALI SONY, SONY TIDAK AKAN BERTANGGUNG JAWAB ATAS KERUGIAN APA PUN (ATAU KEWAJIBAN LAINNYA) YANG TERKAIT DENGAN LAYANAN JARINGAN TERSEBUT. PENGGUNAAN LAYANAN JARINGAN MEMERLUKAN KONEKSI INTERNET. LAYANAN JARINGAN DAPAT DIHENTIKAN KAPAN SAJA. KONEKTIVITAS INTERNET DAN LAYANAN PIHAK KETIGA Anda mengakui dan menyetujui bahwa akses ke APLIKASI PERANGKAT LUNAK tertentu yang dikembangkan dengan menggabungkan fitur MATERI BERLISENSI mungkin memerlukan koneksi Internet yang menjadi tanggung jawab Anda sepenuhnya. Tanpa membatasi ketentuan umum di atas, Anda bertanggung jawab penuh atas (i) pembayaran biaya pihak ketiga mana pun yang terkait dengan koneksi Internet Anda, termasuk namun tidak terbatas pada biaya penyedia layanan Internet atau biaya waktu tayang, dan (ii) pembentukan dan pemeliharaan koneksi Internet yang aman. Pengoperasian APLIKASI PERANGKAT LUNAK mungkin terbatas atau dibatasi bergantung pada kemampuan, bandwidth, atau batasan teknis koneksi dan layanan internet Anda. Penyediaan, kualitas, dan keamanan konektivitas internet tersebut sepenuhnya tanggung jawab Anda dan pihak ketiga yang menyediakan layanan tersebut. Anda bertanggung jawab penuh apabila ada Kode Berbahaya yang masuk ke dalam APLIKASI PERANGKAT LUNAK karena atau melalui koneksi internet Anda. PERATURAN EKSPOR DAN LAINNYA Anda setuju untuk mematuhi semua pembatasan dan peraturan ekspor dan ekspor ulang yang berlaku di wilayah atau negara tempat Anda tinggal, dan tidak mentransfer, atau mengizinkan transfer, MATERI BERLISENSI ke negara yang dilarang atau melanggar pembatasan atau peraturan tersebut. AKTIVITAS BERISIKO TINGGI MATERI BERLISENSI ini tidak toleran terhadap kesalahan dan tidak dirancang, diproduksi, atau ditujukan untuk digunakan atau dijual kembali sebagai peralatan kontrol daring di lingkungan berbahaya yang memerlukan kinerja yang aman dari kegagalan, seperti dalam pengoperasian fasilitas nuklir, sistem navigasi atau komunikasi pesawat terbang, kontrol lalu lintas udara, mesin pendukung kehidupan langsung, atau sistem persenjataan, jika kegagalan MATERI BERLISENSI dapat mengakibatkan kematian, cedera pribadi, atau kerusakan fisik atau lingkungan yang parah ("AKTIVITAS BERISIKO TINGGI"). SONY, masing-masing PEMASOK PIHAK KETIGA, dan masing-masing afiliasinya secara khusus menafikan segala jaminan, kewajiban, atau ketentuan tersurat maupun tersirat terkait kesesuaian untuk AKTIVITAS BERISIKO TINGGI. LARANGAN PENGGUNAAN MATERI BERLISENSI Dengan ini Anda mengonfirmasi dan menyetujui bahwa SONY, induk perusahaan, anak perusahaan, dan afiliasinya, berkomitmen penuh untuk tidak terlibat dalam transaksi apa pun yang melibatkan Senjata. "Senjata" merujuk pada produk, perangkat lunak, teknologi, atau layanan yang dirancang untuk serangan tempur (misalnya, pembunuhan atau penghancuran) atau yang dapat dialihkan dan digunakan untuk serangan tempur, termasuk suku cadang, aksesori, dan/atau perangkat lunak yang dirancang khusus untuk produk, perangkat lunak, teknologi, atau layanan tersebut. Senjata termasuk, tetapi tidak terbatas pada, (i) semua jenis senjata (termasuk senjata berburu dan senjata olahraga) dan semua alat bidik teleskopik untuk senjata tersebut, (ii) tank, kapal perang, kapal selam, dan pesawat tempur (termasuk helikopter serang), (iii) bahan peledak, (iv) senjata biologi atau kimia, (v) rudal, (vi) pesawat udara tak berawak yang dilengkapi dengan senjata ofensif (termasuk fitur penyebaran senjata biologi atau kimia), dan (vii) perangkat atau program yang dirancang khusus untuk pemandu atau pengendali arah benda-benda yang diuraikan di atas. Anda menyatakan, menjamin, dan berjanji bahwa Anda tidak akan menggunakan MATERI BERLISENSI dan PERANGKAT: (i) untuk merancang, mengembangkan, memproduksi, menyesuaikan, menggunakan, memasang, memeriksa, atau menyimpan Senjata; (ii) untuk mengangkut bahan peledak atau senjata kimia atau biologi dan benda-benda berbahaya lainnya; dan/atau (iii) untuk kegiatan militer seperti intelijen, pengawasan, dan pengintaian. Anda menyatakan, menjamin, dan berjanji bahwa Anda tidak akan menjual kembali atau mentransfer APLIKASI PERANGKAT LUNAK kepada orang lain yang bermaksud menggunakan APLIKASI PERANGKAT LUNAK tersebut: (i) untuk merancang, mengembangkan, memproduksi, menyesuaikan, menggunakan, memasang, memeriksa, atau menyimpan Senjata; (ii) untuk mengangkut bahan peledak atau senjata kimia atau biologi dan benda-benda berbahaya lainnya; dan/atau (iii) untuk kegiatan militer seperti intelijen, pengawasan, dan pengintaian. Anda harus menjelaskan kepada dan memperoleh persetujuan dari PENGGUNA AKHIR tentang penggunaan MATERI BERLISENSI, APLIKASI PERANGKAT LUNAK, dan PERANGKAT yang dilarang sebagaimana ditetapkan di Pasal ini sebelum memberi lisensi kepada PENGGUNA AKHIR untuk menyalin atau menggunakan APLIKASI PERANGKAT LUNAK. PENAFIAN JAMINAN ATAS MATERI BERLISENSI Anda mengakui dan menyetujui bahwa risiko penggunaan MATERI BERLISENSI merupakan tanggung jawab Anda sendiri dan bahwa Anda bertanggung jawab atas penggunaan MATERI BERLISENSI tersebut. MATERI BERLISENSI disediakan "APA ADANYA," tanpa jaminan, kewajiban, atau ketentuan apa pun. SONY DAN MASING-MASING PEMASOK PIHAK KETIGA (untuk keperluan Pasal ini, SONY dan masing-masing PEMASOK PIHAK KETIGA secara kolektif disebut sebagai "SONY") SECARA TEGAS MENAFIKAN SEMUA JAMINAN, KEWAJIBAN, ATAU KETENTUAN, TERSURAT MAUPUN TERSIRAT, TERMASUK, NAMUN TIDAK TERBATAS PADA, JAMINAN TERSIRAT ATAS KEMAMPUAN UNTUK DIPERDAGANGKAN, TANPA PELANGGARAN, DAN KESESUAIAN UNTUK TUJUAN TERTENTU. SONY TIDAK MEMBERIKAN JAMINAN ATAU MEMBUAT KETENTUAN ATAU PERNYATAAN APA PUN (A) BAHWA FUNGSI YANG ADA DALAM MATERI BERLISENSI APA PUN AKAN MEMENUHI KEBUTUHAN ANDA ATAU BAHWA FUNGSI TERSEBUT AKAN DIPERBARUI, (B) BAHWA PENGOPERASIAN MATERI BERLISENSI APA PUN AKAN BENAR ATAU BEBAS KESALAHAN ATAU BAHWA SEGALA CACAT AKAN DIPERBAIKI, (C) BAHWA MATERI BERLISENSI TIDAK AKAN MERUSAK PERANGKAT LUNAK, PERANGKAT KERAS, ATAU DATA LAINNYA, (D) BAHWA PERANGKAT LUNAK, LAYANAN JARINGAN (TERMASUK INTERNET), ATAU PRODUK (SELAIN MATERI BERLISENSI) YANG MENJADI DASAR KINERJA MATERI BERLISENSI ATAU KINERJA APLIKASI PERANGKAT LUNAK TERSEBUT AKAN TETAP TERSEDIA, TIDAK TERGANGGU, TEPAT WAKTU, AMAN, ATAU TIDAK BERUBAH, (E) BAHWA PERANGKAT LUNAK ATAU SETIAP PERALATAN, SISTEM, ATAU JARINGAN YANG MENGGUNAKAN MATERI BERLISENSI TERSEBUT (TERMASUK PERANGKAT) AKAN BEBAS DARI KERENTANAN TERHADAP INTRUSI ATAU SERANGAN DAN (F) TERKAIT PENGGUNAAN ATAU HASIL DARI PENGGUNAAN MATERI BERLISENSI DALAM HAL KEBENARAN, KEAKURATAN, KEANDALAN, ATAU YANG LAIN. LAYANAN MUNGKIN TERKENA KETERLAMBATAN, PEMBATALAN, DAN GANGGUAN LAINNYA. SONY TIDAK MEMBERIKAN JAMINAN, PERNYATAAN, ATAU KETENTUAN SEHUBUNGAN DENGAN MATERI BERLISENSI, TERMASUK NAMUN TIDAK TERBATAS PADA, KUALITAS, EFEKTIVITAS, REPUTASI, DAN KARAKTERISTIK LAYANAN LAINNYA. TIDAK ADA INFORMASI ATAU SARAN LISAN MAUPUN TERTULIS YANG DIBERIKAN OLEH SONY ATAU PERWAKILAN RESMI SONY YANG AKAN MENIMBULKAN JAMINAN, KEWAJIBAN, ATAU KETENTUAN, ATAU DENGAN CARA APA PUN MENINGKATKAN RUANG LINGKUP JAMINAN INI. JIKA MATERI BERLISENSI TERBUKTI CACAT, ANDA MENANGGUNG SELURUH BIAYA SERVIS, PERBAIKAN, ATAU KOREKSI YANG DIPERLUKAN. PEMBATASAN TANGGUNG JAWAB SONY DAN MASING-MASING PEMASOK PIHAK KETIGA (untuk keperluan Pasal ini, SONY dan masing-masing PEMASOK PIHAK KETIGA secara kolektif disebut sebagai "SONY") TIDAK AKAN BERTANGGUNG JAWAB ATAS KERUSAKAN TIDAK LANGSUNG, INSIDENTAL, KHUSUS, CONTOH, ATAU KONSEKUENSIAL YANG TIMBUL DARI ATAU SEHUBUNGAN DENGAN MATERI BERLISENSI DAN/ATAU PERANGKAT, TERMASUK UNTUK PELANGGARAN JAMINAN TERSURAT ATAU TERSIRAT, PELANGGARAN KONTRAK, KELALAIAN, TANGGUNG JAWAB HUKUM, ATAU BERDASARKAN TEORI HUKUM LAINNYA YANG TERKAIT DENGAN MATERI BERLISENSI, TERMASUK, NAMUN TIDAK TERBATAS PADA, KERUGIAN YANG TIMBUL DARI HILANGNYA KEUNTUNGAN, HILANGNYA PENDAPATAN, HILANGNYA DATA, HILANGNYA PENGGUNAAN MATERI BERLISENSI ATAU SEGALA PERANGKAT KERAS YANG TERKAIT, WAKTU HENTI DAN WAKTU PENGGUNA, BAHKAN JIKA SALAH SATU DARI MEREKA TELAH DIBERI TAHU TENTANG KEMUNGKINAN TERJADINYA KERUGIAN TERSEBUT. DALAM HAL APA PUN, SETIAP DAN SEMUA KEWAJIBAN AGREGAT MEREKA BERDASARKAN KETENTUAN APA PUN DALAM PERJANJIAN INI AKAN DIBATASI PADA JUMLAH YANG LEBIH BESAR DARI JUMLAH YANG SEBENARNYA ANDA BAYARKAN UNTUK MATERI BERLISENSI ATAU SATU JUTA YEN JEPANG (\1.000.000). GANTI RUGI Kecuali dilarang oleh hukum yang berlaku, Anda setuju untuk membela, mengganti rugi, dan membebaskan SONY dan PEMASOK PIHAK KETIGA dan masing-masing anak perusahaan, afiliasi, pejabat, dan karyawannya, dari segala kerugian, klaim, atau tuntutan, termasuk biaya pengacara yang wajar, yang diajukan oleh pihak ketiga mana pun yang disebabkan atau timbul dari penggunaan Anda atau penggunaan pihak ketiga atas MATERI BERLISENSI, APLIKASI PERANGKAT LUNAK, dan/atau PERANGKAT (termasuk, namun tidak terbatas pada, segala kerentanan perangkat lunak yang disebabkan oleh penggunaan tersebut dan segala kecelakaan yang disebabkan oleh penggunaan PERANGKAT tersebut sebagaimana digunakan atau dikendalikan dengan APLIKASI PERANGKAT LUNAK), pelanggaran Anda terhadap PERJANJIAN ini, atau kegagalan Anda untuk memenuhi tanggung jawab Anda berdasarkan PERJANJIAN ini. PEMBARUAN SONY dapat, tetapi tidak berkewajiban untuk, merilis peningkatan, pembaruan, perbaikan bug dan/atau versi MATERI BERLISENSI yang dimodifikasi dengan cara yang dianggap SONY sudah memadai. Jika dan ketika MATERI BERLISENSI yang telah diperbarui dirilis, Anda harus menggunakan MATERI BERLISENSI yang telah diperbarui tersebut untuk memodifikasi APLIKASI PERANGKAT LUNAK sesuai dengan petunjuk yang diberikan Sony terkait hal tersebut. KEADAAN MEMAKSA SONY tidak bertanggung jawab atas segala keterlambatan atau kegagalan dalam melaksanakan sesuatu yang diakibatkan oleh sebab-sebab di luar kendali wajarnya, termasuk, namun tidak terbatas pada, bencana alam, perang, terorisme, kerusuhan, embargo, tindakan otoritas sipil atau militer, kebakaran, banjir, kecelakaan, pemogokan, atau kekurangan sarana transportasi, bahan bakar, energi, tenaga kerja atau material. SELURUH PERJANJIAN, PENGABAIAN, KETERPISAHAN PERJANJIAN ini dan kebijakan privasi SONY, masing-masing sebagaimana diubah dan dimodifikasi dari waktu ke waktu, bersama-sama merupakan keseluruhan perjanjian antara Anda dan SONY sehubungan dengan MATERI BERLISENSI. Kegagalan SONY melaksanakan atau menegakkan hak atau ketentuan apa pun dalam PERJANJIAN ini tidak akan dianggap sebagai pengabaian hak atau ketentuan tersebut. Jika ada bagian dari PERJANJIAN ini yang dinyatakan tidak sah, melanggar hukum, atau tidak dapat dilaksanakan, ketentuan tersebut akan diberlakukan hingga batas maksimal yang diizinkan untuk mempertahankan maksud dari PERJANJIAN ini, dan bagian lainnya akan tetap berlaku penuh. HUKUM YANG MENGATUR DAN YURISDIKSI Konvensi Perserikatan Bangsa-Bangsa tentang Kontrak untuk Penjualan Barang Internasional tidak berlaku untuk PERJANJIAN ini. PERJANJIAN ini akan diatur oleh hukum Jepang, tanpa memperhatikan ketentuan konflik hukum. Sengketa apa pun yang timbul dari PERJANJIAN ini akan tunduk pada tempat penyelesaian eksklusif Pengadilan Distrik Tokyo di Jepang, dan para pihak dengan ini menyetujui tempat dan yurisdiksi pengadilan tersebut. UPAYA HUKUM YANG ADIL Terlepas dari apa pun yang tercantum dalam PERJANJIAN ini yang menyatakan hal sebaliknya, Anda mengonfirmasi dan setuju bahwa pelanggaran atau ketidakpatuhan Anda terhadap PERJANJIAN ini akan menyebabkan kerugian yang tidak dapat diperbaiki kepada SONY, yang mana ganti rugi uang tidak akan memadai, dan Anda menyetujui SONY untuk memperoleh ganti rugi yang bersifat injunktif atau adil yang SONY anggap perlu atau tepat dalam keadaan tersebut. SONY juga dapat mengambil tindakan hukum dan teknis apa pun untuk mencegah pelanggaran dan/atau untuk menegakkan PERJANJIAN ini, termasuk, namun tidak terbatas pada, penghentian langsung penggunaan Anda atas MATERI BERLISENSI, jika SONY, berdasarkan pertimbangannya sendiri, meyakini bahwa Anda melanggar atau bermaksud melanggar PERJANJIAN ini. Upaya hukum ini merupakan tambahan atas upaya hukum lain yang mungkin dimiliki SONY berdasarkan hukum, ekuitas, atau kontrak. PENGHENTIAN Tanpa mengurangi hak-hak lainnya, SONY dapat menghentikan atau menangguhkan akses atau penggunaan MATERI BERLISENSI dan/atau mengakhiri PERJANJIAN ini jika Anda gagal mematuhi salah satu ketentuan materiilnya atau atas kebijakannya sendiri, SONY secara wajar memutuskan bahwa: (i) APLIKASI PERANGKAT LUNAK menyebabkan potensi kerentanan keamanan; (ii) APLIKASI PERANGKAT LUNAK tidak berfungsi secara penuh, lengkap, benar, atau sebagaimana diharapkan sehubungan dengan PERANGKAT; (iii) APLIKASI PERANGKAT LUNAK memuat atau mempromosikan konten apa pun yang tidak mematuhi kebijakan, prosedur, atau parameter SONY saat ini sebagaimana yang dapat diberikan dari waktu ke waktu; (iv) APLIKASI PERANGKAT LUNAK benar-benar atau diduga melanggar atau menyalahgunakan hak kekayaan intelektual pihak ketiga mana pun; (v) APLIKASI PERANGKAT LUNAK memuat atau mempromosikan konten apa pun yang tidak pantas, memfitnah, cabul, atau melanggar hukum; (vi) APLIKASI PERANGKAT LUNAK memuat pesan apa pun yang mempromosikan skema piramida, surat berantai, atau pesan atau iklan komersial yang mengganggu; (vii) SONY secara wajar memutuskan APLIKASI PERANGKAT LUNAK sebaliknya malah menciptakan pengalaman pengguna yang negatif. Jika terjadi penghentian, Anda harus: (a) menghentikan semua penggunaan, dan memusnahkan salinan MATERI BERLISENSI apa pun dalam waktu dua (2) minggu sejak tanggal penghentian tersebut dan; (b) atas permintaan yang diajukan oleh SONY, memberikan SONY sertifikasi, yang memverifikasi bahwa MATERI BERLISENSI tersebut telah dihentikan dan dimusnahkan. AMANDEMEN SONY BERHAK MENGUBAH SETIAP KETENTUAN DALAM PERJANJIAN INI ATAS KEBIJAKANNYA SENDIRI DENGAN MEMPOSTING PEMBERITAHUAN DI SITUS WEB YANG DITETAPKAN OLEH SONY DAN/ATAU DENGAN MEMBERIKAN PEMBERITAHUAN SEBAGAI BAGIAN DARI PROSES DI MANA ANDA MENDAPATKAN PENINGKATAN/PEMBARUAN ATAU DENGAN BENTUK PEMBERITAHUAN LAINNYA YANG DAPAT DIKETAHUI SECARA HUKUM. Jika Anda tidak menyetujui amandemen tersebut, Anda harus segera menghubungi SONY untuk mendapatkan petunjuk. Penggunaan MATERI BERLISENSI secara terus-menerus setelah tanggal berlakunya pemberitahuan tersebut akan dianggap sebagai persetujuan Anda untuk terikat oleh perubahan tersebut. PENERIMA MANFAAT PIHAK KETIGA Setiap PEMASOK PIHAK KETIGA secara tegas dimaksudkan sebagai penerima manfaat pihak ketiga, dan berhak untuk menegakkan setiap ketentuan PERJANJIAN ini berkenaan dengan MATERI BERLISENSI milik pihak tersebut.
